1. This website is managed and operated by Yash Raj Films Pvt. Ltd. (“YRF” / “Company” / “we” / “us” / “our”). By accessing, downloading, using, and/or registering on this website (“Platform”), you agree to be governed by these Terms of Use (“Terms”) and the Privacy Policy of the Company (available at https://www.yashrajfilms.com/privacy-policy). You should carefully go through these Terms and the Privacy Policy before you decide to use the Platform in any manner, irrespective of whether you are a visitor, merely browsing the Platform and/or content available therein, and/or availing any services provided by us thereunder (“Services”), with or without registration of any form.


2. In the event you are accessing and/or using the Platform and/or the Services, and/or providing any information thereunder, on behalf of any organization, company, or branch of government, you represent and warrant that you have the authority to undertake the relevant actions on their behalf, in accordance with these Terms and the Privacy Policy.


3. The Terms and the Privacy Policy shall constitute a legally binding agreement between us and you.



4. Services and Eligibility

   1. To register on the Platform and/or avail our Services, you must be of at least 18 (eighteen) years of age and have the capacity to enter into this agreement. Persons under the age of 18 (eighteen) are not permitted to register for any Services under the Platform and/or provide any information thereunder, nor access, transact, or use the Platform and/or Services.
   
   
   2. You hereby confirm that all the information furnished by you on the Platform and/or in connection with the Services is truthful and accurate, and does not suffer from any deficiencies.
   
   
   3. You agree that you shall be solely responsible for any activities or actions made on the Platform, through your account our otherwise. You will immediately notify the Company of any unauthorized use of your account, upon becoming aware of the same. Without limiting any other terms of this Terms, you may not use false identities or impersonate any other person or use a username or phone number that you are not authorized to use, in connection with any use and/or access to this Platform.
   
   

5. Platform Usage and Restrictions

   1. You agree, acknowledge, and confirm that any data and/or requests submitted by you through the Platform have been provided by you, on a voluntary basis. You further acknowledge that the mere submission of any data and/or requests by you on the Platform, do not, in any way amount to any guarantee or assurance of offers or other acceptance by the Company, for any purpose.
   
   
   2. You agree not to: (i) circumvent, remove, degrade, deactivate, or thwart any of the content of the Platform and/or Service; (ii) use any robot, spider, scraper, or other means to access our Platform and/or Service. You also agree not to decompile, reverse engineer, and disassemble any software or other products or processes accessible through our Platform and/or Service, for any purpose. Additionally, you agree not to upload, post, e-mail, or otherwise send or transmit any material designed to interrupt, destroy, or limit the functionality of the Platform and/or the Service. We may terminate or restrict your use of the Platform and/or the Service if you violate these Terms or engaged in any illegal or fraudulent use of our service.
   
   
   3. You shall not, directly or indirectly, make unauthorised use of any copyrighted materials on the Platform, and/or store, publicly perform, reproduce, modify, distribute, create derivative works, send, transmit, publicly display, decompile, reverse engineer, make available, or otherwise communicate to the public, any materials and/or works to which you do not hold necessary rights, on or via the Platform and/or in connection with the Services.

You shall not, directly or indirectly, alter or remove and/or attempt to alter or remove, any trademark, copyright, other proprietary information, and/or legal notices contained in and/or appearing on the Platform and/or Services. You may not use any logo, trade mark, service marks, and/or proprietary material, works, and/or information of the Company, in any manner whatsoever, without the Company’s prior written authorization.
   
   
   5. You shall not directly or indirectly retransmit, distribute, disseminate, sell, perform, make available to third parties, or exploit for any purposes (including, without limitation, for any personal, commercial, and/or non-commercial purpose), the Platform or any part thereof and/or any content available on the Platform, without the express prior written consent from us.
   
   
   6. Code of Conduct: You understand that the Platform is open to several individuals, and you must ensure that any statements and comments made therein are not abusive or discriminatory. You shall not engage in any behavior during your interaction with the Platform, which may amount to “Prohibited Behavior” as determined by Company, in its sole discretion and which includes, without limitation, not hosting, displaying, uploading, modifying, publishing, transmitting, storing, updating, and/or sharing any information / material that:
      
      
      • Belongs to another person, to which you do not have any right;
      
      
      • Is of sexually explicit nature (i.e., obscene, pornographic, paedophilic, invasive of another’s privacy including bodily privacy), insults or harasses on the basis of gender, racially or ethnically objectionable, relates or encourages money laundering or gambling or an online game that causes harm, promotes enmity between different groups on the grounds of religion or caste with the intent to incite violence;
      
      
      • Is harmful to child, violent, or bullying in nature (i.e., a user shall not threaten, harass or bully other users, personnel of the Company, or make any inflammatory statements, in relation to violence, bullying including suicide);
      
      
      • Constitutes hate speech (i.e., a user shall not promote bigotry, discrimination, hatred, intolerance, or racism, or target against any person or groups of persons based on their race or ethnic origin, religion, disability, gender, age, nationality, veteran status, sexual orientation, or gender identity during their casting opportunities;
      
      
      • Infringes any patent, trademark, copyright or other proprietary rights;
      
      
      • Constitutes unlawful activity (i.e., a user shall not use the Platform and/or the Service for any illegal or unlawful purpose, including, without limitation, impersonation, defamatory statements, cyber-attacks, stalking and sexually exploiting any peer);
      
      
      • Deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any misinformation or information which is patently false and untrue or misleading in nature or, in respect of any business of the Central Government, is identified as fake or false or misleading by such fact check unit of the Central Government as the Ministry may, by notification published in the Official Gazette, specify;
      
      
      • Impersonates another person, nor shall any user submit any information that is fake, inaccurate, and/or generated graphically, via computers and/or AI;
      
      
      • Are intended for any marketing purposes, dating, or any other ancillary purpose;
      
      
      • Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence, or prevents investigation of any offence, or is insulting other nation;
      
      
      • Constitute any form of antisocial, disruptive, or destructive acts, including “flaming”, “spamming”, “flooding”, “trolling”, “phishing”, and “griefing” as those terms are commonly understood and used in the public;
      
      
      • Contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
      
      
      • Is in the nature of an online game that is not verified as a permissible online game;
      
      
      • Is in the nature of advertisement or surrogate advertisement or promotion of an online game that is not a permissible online game, or of any online gaming intermediary offering such an online game;
      
      
      • Violates any law for the time being in force.
   
   
   7. Through your use of the Platform and/or the Services, you may be exposed to content that you may find offensive, objectionable, harmful, inaccurate, or deceptive. There may also be risks of dealing with underage persons, people acting under false pretences, international trade issues and foreign nationals. The Company is not liable to any user for hurting any sentiments or causing them any kind of hurt, during their interactions on the Platform and/or the Services. Users disclaim any recourse against Company and shall not hold Company liable for any content, which may have caused any form of hurt to such user.



6. General Terms

   1. You agree to use / access the Platform / Services, in accordance with the applicable laws, rules and regulations.

You shall not impersonate a representative of the Company, and/or hold yourself as having any authority to invite, receive, and/or collect any information from third parties, on behalf of the Company or otherwise.



7. Intellectual Property

   1. All right, title, and interest in and to the Platform, and all content, materials, and information therein (including, without limitation, all designs, logos, sound recordings, music, trade dress, photographs, software, interfaces, images, graphics, as well as the look and feel of the Platform, video, links, etc.) are owned by and vested with the Company, for the whole world and in perpetuity. No license or right is granted to you, by virtue of your use of the Platform and/or the Services, or otherwise. No information, content, or material from the Platform including, without limitation, all of the page headers, images, illustrations, graphics, audio clips, video clips, texts, reports generated, trademarks, trade names, etc. may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without Our or our authorized licensor’s express written permission.



8. Term and Termination

   1. These Terms, and any posted revisions, shall remain in effect while you use the Platform and/or Services. You may end your legal agreement with the Company at any time for any reason by deactivating your accounts and discontinuing your use of the Platform and/or the Services. However, the terms which survive general expiration shall continue to govern you. You agree that we have the right to immediately suspend your account on the Platform if we suspect any violation of the Terms or any applicable laws and regulations



9. Disclaimers and Limitation of Liability

   1. To the maximum extent permitted by law, we will not be liable in any way for any loss or damage suffered by you through use of or access to the Platform and/or the Services, or our failure to provide the Services. Our liability for negligence, breach of contract or contravention of any law, as a result of our failure to provide the Services or any part of it, or for any problems with the Services, which cannot be lawfully excluded, is limited, at our option and to the maximum extent permitted by law.
   
   
   2. TO THE MAXIMUM EXTENT NOT PROHIBITED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, AND THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE AND USAGE OF TRADE. YOUR USE OF THE PLATFORM AND/OR THE SERVICES IS SOLELY AT YOUR OWN RISK. FURTHERMORE, THE COMPANY DOES NOT WARRANT THAT THE PLATFORM AND/OR THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS, IF ANY, WILL BE CORRECTED. THE COMPANY DOES NOT WARRANT THAT FILES AVAILABLE FOR DOWNLOAD WILL BE FREE OF VIRUSES, WORMS, TROJAN HORSES, OR OTHER DESTRUCTIVE PROGRAMMING. ANY MATERIAL OBTAINED THROUGH THE USE OF THE PLATFORM AND/OR SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM ANY SUCH MATERIAL. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY CONTENT.
   
   
   3. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL THE COMPANY BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, SPECIAL OR CONSEQUENTIAL DAMAGES) THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE MATERIALS IN AND AVAILABLE THROUGH THE PLATFORM. IN NO EVENT SHALL THE COMPANY’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE PLATFORM.



10. Disclaimers vis a vis Submissions

    1. Please be advised that any submissions sought by the Company, for any purpose, including for recruitment, casting, and/or any creative requirements, are subject to strict internal procedures (“Internal Procedures”). In particular, you are informed that:
       
       
       • YRF does not request for any money, payments, or security deposits of any kind during or after the Internal Procedures.
       
       
       • (i) Official employment / recruitment opportunities will be shared, discussed, and/or communicated only via official email IDs from the domain ‘@yashrajfilms.com’; (ii) Casting calls and invites will be available on the official ‘YRF Casting App’ https://www.yrfcasting.com; (iii) Creative submissions will be accepted only via the official ‘YRF Script Cell’ https://scripts.yashrajfilms.com. Each of the foregoing are subject to distinct Internal Procedures. Any submissions and/or requests that do not comply with the applicable Internal Procedures will be disregarded and/or disqualified, unless otherwise expressly communicated by the Company.
       
       
       • Any individual or agency that communicates from any generic email ID ending with free email accounts such as Gmail, Yahoo, Hotmail, etc. is likely to be unauthorized and fraudulent. However, there is also a possibility of fraudulent entities using software to generate fake email IDs and fake Company letterheads to make any communications appear genuine. Therefore, you are advised to exercise caution for any communications received by you, that appear to be official communication from the Company. If you believe you have been a victim of such fraudulent activities, you are requested to notify the same to the Company immediately, in addition to exercising any other rights available to you under law.
       
       
    2. You are expressly required to refrain from sharing any requests, submissions, resumes, photos, videos, applications, including casting applications, scripts, stories, synopses, etc., through any means that do not form part of the official Internal Procedures. In the event you share any requests, submissions, resumes, photos, videos, applications, including casting applications, scripts, stories, synopses, etc., through any means that do not form part of the official Internal Procedures, the same shall be at your sole risk as to the cost and consequence thereof, without any recourse and/or liability to YRF for any reason whatsoever.



11. Indemnity

    1. You agree to indemnify and hold harmless the Company, and its officers, employees, representations, subsidiaries, agents, licensors, managers, and other affiliated persons and entities, from and against any and all claims (including third-party claims), damages, obligations, losses, liabilities, costs, debt, suits, legal proceedings, action, suits, and expenses (including but not limited to attorney’s fees), imposed on, incurred by, and/or asserted against the Company, due to, owing to, and/or arising from: (i) your use of and access to the Platform and/or Services; (ii) your violation of any term or any act done inconsistent to this Terms and/or the Privacy Policy, including without limitation to your breach of any of the representations and warranties above; (iii) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (iv) your violation of any applicable law, rule, or regulation; (v) any claims or damages that arise as a result of any of any content or information that is submitted via your account on the Platform.



12. Governing Law and Jurisdiction

    1. In case of any dispute or difference arising at any time between YRF and you as to the meaning or effect of this Terms or any part thereof or as to the rights, duties, and liabilities of the parties, the dispute / difference shall, in accordance with and subject to the provisions of the Arbitration & Conciliation Act, 1996, or any statutory modification or re-enactment thereof for the time being in force, be referred, to a sole arbitrator mutually appointed by both the parties. The place of arbitration shall be in Mumbai, Maharashtra. The language of the Arbitration shall be English. The award passed in such arbitration shall be final and binding upon the parties. Subject to the foregoing, these Terms shall be governed by the laws of India and any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of the Courts of Mumbai.



13. Severability

    1. If any portion of these Terms is held to be illegal, invalid, and/or unenforceable, such clause/portion must be construed as nearly as possible to reflect the original intent of the Parties. In such event, the remaining clauses/portions remain in full force and effect, to the extent feasible.



14. Changes to Terms of Use and Assignment

    1. We may from time to time change these Terms. We will notify you at least 30 (thirty) days before such changes apply to you. We may assign or transfer our agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer. We recommend that you periodically check this page for any revised terms. Your continued use of the Platform Services will be deemed to constitute your acceptance of all such revised terms.



15. Waiver

    1. The failure of any Party to enforce at any time any of the provisions of these Terms shall not be construed to be a waiver of any right, power, privilege, or remedy or as a waiver of any preceding or succeeding breach by you, nor shall any single or partial exercise of any right, power, privilege, or remedy preclude any other or further exercise of such or any other right, power, privilege, or remedy provided in these Terms, all of which are several and cumulative and are not exclusive of each other or of any other rights or remedies otherwise available to a Party at law or in equity.



16. Force Majeure and Act of Third Parties

    1. The Company shall not be liable for any failure of performance hereunder which is due to any event beyond the reasonable control of the Company, such as any so-called acts of God, accident, fire, riot or civil commotion, or any regulation or order of the Government of India or any State Government or any statutory or judicial authority, and/or any other act being deemed an act of force majeure or act of any third party beyond the control of the Company, including but not limited to hacking, data theft, unauthorised access to your account, impersonation, fraud, misrepresentation, and so on.



17. Grievance Officer and Notices

    1. We have a Grievance Officer to address your concerns regarding data safety, privacy, and Platform usage concerns. We will resolve the issues raised by you within 30 (thirty) days from receiving them. We have created a method for you to get in touch with us and for us to address your concerns.
